Terms and Conditions:
While CDM Smith has used due care and diligence to produce the electronic files, the client recognizes that such electronic files may not include all information contained on the report, design plans and drawings, and/or project manual that contain CDM's licensed professional engineering stamp. CDM Smith provides the electronic files to the client "AS IS," and the use of the electronic files is at the sole risk of the client and any other user and without liability or legal exposure to CDM Smith.

The files may be used only for the specific purposes contemplated under the agreement with the client or only on the project specified under the agreement. Any use on any other project is strictly prohibited. The client shall not transfer any electronic media to any third party without the express written consent of CDM Smith.

The hard copy of the final report, design plans and drawings, and/or project manual containing CDM Smith's licensed professional engineering stamp shall take precedence over the electronic files. CDM Smith shall not include any professional seals, signatures, or stamps on any electronic files unless the state that has jurisdiction over such professional services permits such inclusion and the agreement with the client requires such inclusion

CDM Smith shall own the copyright of information contained on or in the electronic files and CDM Smith or the licensed professional shall own any professional seals, signatures, or stamps. Unless the client specifies its hardware and software compatibility requirements, it shall be the client's responsibility to determine the compatibility of the electronic media used by CDM Smith with the client's software and hardware. Any client's reliance on plans or drawings or reports on electronic files is at the client's sole risk.
